Example Uses of Different English Terms as the Translation of the Turkish Term “Teminat” such as “Collateral, Guarantee, Warranty, Security”

For this reason, we will examine these terms with their example translations in this article.

For example, the term “collateral” is commonly used in Turkish law as the translation of “teminat” in English legal terminology. It is possible to see that the term “collateral” is used when referring to concepts such as collateral deposited during a pending case or collateral deposited in the bank. In this regard, the following sentence can be shown as an example:

A foreign plaintiff who has filed or participated in any lawsuit in Turkey must deposit collateral to provide a guarantee so that the defendant may be compensated for the damage that the defendant may incur due to an unjust lawsuit.

Türkiye’de herhangi bir dava açan veya davaya katılan bir yabancı davacının haksız bir dava nedeniyle davalıyı uğratabileceği zararın tazmin edilebilmesi için bir güvence olması amacıyla teminat yatırması gerekmektedir.

In the sentence above, the word “collateral” was used when referring to a guarantee that will be deposited as part of a pending case, but the term “guarantee” was used when referring to the element of assurance provided by this guarantee. In this context, the term “teminat” may also be used as the translation of the term “guarantee”, but in some cases it may be more appropriate to use the word “garanti”. In this regard, the following sentence can be shown as an example:

The Company has not given or agreed to give any guarantees securing any liability of third parties or issued or agreed to issue any comfort letters (whether binding or not) in respect of any liability of any third party.

Again, translating the word “warranty” as “teminat”, which can be considered as one of the equivalents of the word “teminat”, may not always be the correct use of legal terminology. As can be seen from the following example sentence, the term “warranty” can also be translated as “garanti”.

In particular, the Trustee may include in the sale and purchase agreement such customary representations and warranties and indemnities as are reasonably required to effect the sale.

The following sentence can be shown as an example of using the term “security” as a translation of the term “teminat”.

Although this security is generally illiquid and its value is closely correlated to the performance of the relevant loan operating assets, it does provide the Bank with rights and negotiating leverage that help mitigate the overall credit risk.
